Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Algo Prowebsite (the “Website”) and the Algo Pro desktop software (the “Software”), each provided by Algo Pro (“Algo Pro”, “we”, “us”). By downloading, installing, or using the Software, or by using the Website, you agree to these Terms. If you do not agree, do not use the Website or the Software.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction to use the Software. You are responsible for ensuring that your use of the Software complies with all laws and regulations that apply to you, including securities and financial-services laws.

2. License

Subject to your compliance with these Terms, Algo Pro grants you a personal, non-exclusive, non-transferable, revocable license to download, install, and run the Software on devices you own or control, for your personal trading activity. This license does not grant you rights to modify, reverse-engineer, redistribute, sublicense, or commercially exploit the Software, except as expressly permitted by applicable law.

3. No advice; no broker relationship

Algo Pro is software. It is not investment advice and is not a substitute for advice from a qualified professional. Algo Pro is not a registered investment advisor, broker-dealer, financial planner, or commodity trading advisor in any jurisdiction. Nothing in the Software, on the Website, or in our communications is a solicitation, recommendation, or endorsement to buy, sell, or hold any security, cryptocurrency, derivative, or other asset.

4. Your account at brokers

The Software connects to third-party brokerages and exchanges using API keys you provide. Your relationship with each broker is governed by that broker's terms. You are solely responsible for keeping your API keys secure, for the permissions you grant to those keys, and for any orders the Software places on your behalf at your direction.

5. Risk of loss

Trading involves substantial risk of loss and is not suitable for every investor. You can lose part or all of the capital you commit. Past performance of any strategy, indicator, or backtest does not guarantee or imply future results. 6. Your responsibilities

• You configure the strategies and parameters the Software runs. You alone decide what trades, instruments, and risk levels to allow.
• You are responsible for monitoring your account, your positions, and the Software's behavior. The Software may experience outages, latency, bugs, or other failures.
• You are responsible for any taxes, fees, or regulatory filings arising from your trading activity.

7. Disclaimers

THE WEBSITE AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE WEBSITE OR SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. ALGO PRO DOES NOT WARRANT THAT THE SOFTWARE WILL PRODUCE ANY PARTICULAR TRADING OUTCOME, RESULT, OR PROFIT.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ALGO PRO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING CAPITAL, ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE OR SOFTWARE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ALGO PRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

9. Indemnification

You agree to defend, indemnify, and hold harmless Algo Profrom and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Software, your trading activity, or your breach of these Terms.

10. Termination

We may suspend or terminate your access to the Website or your license to the Software at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law. You may stop using the Software at any time by uninstalling it.

11. Changes

We may update these Terms from time to time. Material changes will be communicated by updating the “Last updated” date and, where appropriate, by notice on the Website. Continued use of the Website or Software after changes take effect constitutes acceptance of the updated Terms.

12. No purchase, no refund

Algo Pro is provided to you as a free download. There is no purchase transaction, subscription, or recurring fee associated with the current Software build. Because no money changes hands, there is nothing to refund. If we later introduce paid features or services, their terms (including any refund or cancellation policy) will be disclosed clearly before purchase.

13. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law principles. To the extent permitted by law, any dispute will be resolved exclusively in the courts located in the State of California, USA.
